Supplementary Agreement

委托方：XXX国驻广州总领事馆

Client：XXX General Consulate in Guangzhou

承包方：XX建设集团股份有限公司

Contractor:：XXX Construction Group Co., Ltd.

双方于XXXX年XX月XX日于广州签定了《XXX驻广州总领事馆新馆工程施工合同》编号为：XXX（以下简称原合同），现双方就本工程竣工时间的合理延伸问题达成补充协议如下：

Both sides signed the XXX General Consulate in Guangzhou New Hall Construction Contract number: XXX(hereinafter referred to as the original contracts) in Guangzhou in XXX.Now both sides reach a supplementary agreement on the reasonable extension of the project completion time as follows:

1、根据原合同XX的约定，承包方应在委托方发出的开工通知上规定的日期之日起15个月内完成全部工程，即XXX年  XX 月  XX  日完工。

I.According to the agreement of original contract XX, the contractor shall complete the whole project within 15 months after the date stipulated in commencement date issued by client, namely complete before XXX.

2、现由于不良的气候条件及不合适的地下条件导致承包方无法按原合同的约定在前述第1条的工期内完成全部工程，现双方同意将工期延长至XXX年 XX  月XX 日。

II. Due to the present adverse climatic conditions and the inappropriate underground condition,the contractor is unable to complete the whole project in the above 1st date limit according to the original contract agreement. Now both sides consent to lengthen the time limit for the project to XXX.
   3、鉴于本协议项下之工期延长并非由于承包方的任何行为或疏忽责任所导致的，现委托方同意变更原合同条款20.1的约定，将不良的气候条件及不合适的地下条件作为本次工期延长的理由，并同意免除承包方按原合同条款22所产生的违约赔偿金及其他因本次工期延长所产生的违约责任。

III. In view of the fact that the extension of time under this agreement is not due to any behavior or responsibility negligence of the contractor, now the client agrees to alter the original contract terms 20.1 agreements, take the adverse weather condition and inappropriate underground condition as the reason of the extension of time, and agrees to waive the liquidated damages according to the original contract term 22 and other liability for breach of contract due to the extension of time.

4、本补充协议未涉及事宜，仍按原合同执行，原合同与本补充协议不一致的，以本补充协议为准。

IV.Matters not covered in this supplemental agreement shall be executed according to the original contract.For the inconsistencies of the original contract with the supplementary agreement, take the supplementary agreement as standard.

5、本补充协议自双方代表签字盖章之日起生效。

V. This supplementary agreement enters into force since the date of signing and sealing from both sides.
    6、本补充协议一式两份，双方各执壹份，具同等法律效力。

VI.This supplementary agreement is in duplicate, each party holds one copy with the same legal effect.
